Bearer Shares Registry System

Monitoring of Bearer Shares - Bearer Shares Registry System

Pursuant to the “Law No. 7262 on the Prevention of Financing the Proliferation of Weapons of Mass Destruction” published in the Official Gazette dated 31/12/2020, No: 31351, and the Articles 30 and 31, added to the Articles 486 and 489 of the Turkish Commercial Code (TCC); as of 1 April 2021, Pursuant to Article 13 of the Capital Market Law No. 6362 dated 6/12/2012, the joint stock companies, whose shares are not registered at MKK in dematerialized form, shall notify MKK of its shareholders and their holdings in bearer form, before distributing any shares to the shareholders. The information on (bearer) shareholders and their holdings, shall be registered electronically to MKK’s “Bearer Shares Registration System (HPKS) by the company representatives, who were defined in the Central Registry Registration System (MERSIS) by the company that have issued bearer shares”.

If there is a need to execute a transfer on the shares that are already registered in the HPKS; notification on the executed transfer can be made by the (shareholder) transferee. However, the notification of the executed transfer can also be made by the company if the transferee applies to the company for the said execution. Notifications on the executed transfers (regarding the certificates held by the shareholder) can be made by the transferee via using the screens prepared on MKK's e-YATIRIMCI (Investor Information Center) application. The records of the notification (on the executed transfers) can be viewed by the shareholders via the e-YATIRIMCI application.

Those who initiate convocation for the general assembly meeting, will use the shareholders list provided by MKK for bearer shareholders, while maintaining the participants list.

As it is stated in the regulations, shareholders who have bearer shares, are required to register their shares to MKK’s HPKS system until 31 December 2021 to be able to continue exercising their shareholder rights given by the law. The shareholders will no longer be able to exercise their rights if they fail to register to the system until the given date.

It is important to provide valid and up to date information while applying to the Company as the same information will be used for enabling login to the e-YATIRIMCI application.
