Membership Procedure for Central Dematerialized System
Issuers, investment institutions operating in accordance with the Law, central clearing institutions and other institutions proposed by MKK and accepted by the Capital Markets Board can become members.
In accordance with the provisions of the Agricultural Products Licensed Warehouses Act. No. 5300 and the e-Warehouse Receipts Regulation which is based on this Act, MKK is designated as the Electronic Registry Agency by the Ministry of Customs and Trade for keeping of records on electronic warehouse receipts.
In this context, licensed warehouse operators and authorized classifiers can become members.
Public Disclosure Platform (KAP) Membership
Borsa Istanbul listed companies and ETFs, investment firms, portfolio management companies, mutual funds, pension funds, real estate funds, venture capital investment funds, foreign funds and independent audit companies can become a member of this platform operated by MKK.
e-Trade Repository (e-VEDO) Membership
Institutions authorized to provide reporting services for the trades to which they are a party of the trades, on which they act as a broker, institutions providing central counterparty services, institutions providing reporting services to the parties of the transactions and other institutions deemed appropriate by the Capital Markets Board can become a member of the e-VEDO.
For e-GENEL KURUL and e-ŞİRKET, no membership structure is provided by the regulations, however;
Electronic General Meeting System (e-GENEL KURUL)
e-GENEL KURUL it is the system where companies can hold their general assembly meetings electronically. It is possible for all companies, (whether public or not public), to use e-GENEL KURUL. To use the system application documents must be submitted.
Companies Information Portal (e-ŞİRKET)
e-ŞİRKET is the system through which joint companies can fulfill their website obligations stipulated by the Article No. 1524 of the Turkish Commercial Code. To use the system application documents must be submitted.
Membership Operations/ Application Procedures
The membership application documents of the institutions, which are expected to become members to use the depository services provided for dematerialized securities within the scope of the Capital Markets Law (and hence to benefit from our other services,) are given below. It is necessary to prepare and send the original copies of the application documents to MKK based on the articles specified in 705 and 751 General Letters published before.
Central Dematerialized System Membership Operations
For institutions that want to become members, are requested to fulfill the below terms ;
- Having the technical equipment and security system determined by MKK,
- To employ sufficient number of qualified employees or to declare in writing that they will carry out their transactions indirectly and continuously by designated MKK member,
- The Membership Entry Fee to be paid.
- To comply with the other conditions determined by the MKK Board of Directors,
In addition to the conditions stated above, below conditions;
- Investment companies are authorized to provide custody services within the framework of investment services and activities specified in the Law,
- Issuers, should have already issued a security or should applied to the Capital Markets Board to issue a capital market instrument,
- Licensed warehouse operators and authorized classifiers should have the license certificate issued by the Ministry of Trade
- are required.

- Representative Information Form or Authorization letter stating that transactions will be carried out indirectly and continuously by another MKK member
- Up to date Authorized Signatures List Signature Circular
- Payment Receipt for the Membership Fee
- Licensed Warehouse Fee Tariff published in Türkiye Trade Registry Gazette (To be delivered by Licensed Warehouse Operations)
Public Disclosure Platform (KAP) Membership Operations
The following documents must be submitted for membership.
- Membership Agreement
- MKK Membership Application Form
- Representative Information Form
- The recent Authorized Signatures List.
- The Letter of Undertaking of PDP Membership only in cases where KAP membership will be established.
Please take below information into consideration before sending membership documents;
- If the foreign companies (whose capital market instruments are traded on the exchange) assign a third party or their employee by a contract, a notarized Board of Directors decision regarding the appointment of the Certificate User/Certificate Manager will be provided
- For funds; if an externally appointed member of the fund committee is assigned as the Certificate User/Certificate Manager (CU/CM) by the pension fund; or an officer working in the investment institution that provides fund services to the fund, is assigned as the CU/CM; it is required to send/provide the notarized copy of the Board of Directors decision of the Fund Founder. The sample of this document can be seen on MKK web site titled “Board of Directors Sample Decision 2”.
- Up to date Authorized Signatures must have a fund founder / fund representative.

e-Trade Repository (e-VEDO) Membership Operations
Within the framework of the Communiqué on Principles Regarding Reporting to Trade Repository, information on derivative transactions carried out in organized and over-the-counter markets, including investment institutions, portfolio management companies, central counterparty and other financial institutions, must be reported to the e-VEDO Platform by individuals in accordance with the relevant regulations. In this context, the following documents must be submitted for e-VEDO membership.

Electronic General Meeting System (e-GENEL KURUL) Applications
According to the Article No. 1524 of the new Turkish Commercial Law, it is obligatory to use the Electronic General Meeting System in the general assembly meetings of listed companies. The following documents must be submitted in order to make the Electronic General Assembly System accessible to companies.

Companies Information Portal (e-COMPANY)
Companies that are subject to independent audit are required to separate a section in their website to Information Society Services in line with Article 1524 of the Turkish Commercial Code. Members of MKK can fulfill these obligations by obtaining a central database service (e-ŞİRKET: Companies Information Portal) from MKK . In order for the e-ŞİRKET system to be accessible to companies, the following documents must be submitted.
